Interpretation

  • Buyer: The individual or entity purchasing Goods and/or Services.
  • Company: Modema Int. Ltd
  • Conditions: These Terms and Conditions.
  • Confidential Information: All business and financial information, including methods, prices, plans, customer details, software, and other related information, except for information that is public, already known to the receiving party, or independently developed by the receiving party.
  • Contract: The agreement between the Buyer and the Company for the supply of Goods
  • and/or Services according to these Conditions.
  • Goods: Products provided by the Company to the Buyer under the Contract.
  • MRO: Maintenance, repair, and overhaul.
  • Non-Returnable Goods: Items that cannot be returned due to their nature.
  • Parties: The Buyer and the Company.
  • Services: Services provided by the Company to the Buyer under the Contract.

Singular terms include the plural and vice versa. References to any gender include all genders. Legal persons include natural persons and other legal entities. Terms following “including,” “include,” “in particular,” or similar expressions are illustrative and not limiting.

Basis of the Contract

(a) Any quotation from the Company is an invitation to treat, not an offer, and is non-binding unless the Company accepts a written order. (b) Orders can be placed via email. The order is accepted once the Company issues a written acceptance. (c) These Conditions apply exclusively to the Contract, overriding any other terms the Buyer may try to impose. (d) Any changes to these Conditions must be agreed in writing by an authorised Company representative. (e) The
Company can correct typographical or clerical errors in any document without liability. (f) No statement or description in any catalogue, price list, advertisement, or verbal communication is part of the Contract unless expressly stated. (g) The Contract, including any written variations, constitutes the entire agreement between the Parties, who have not relied on any other representations.

Deliveries

  • Goods are delivered to the address specified on the order form. Delivery options and charges are provided at the time of order.
  • Orders may be delivered in instalments.
  • Notify us immediately, and within 5 working days, if the delivery is not received or is damaged.
  • We do not guarantee delivery times due to the involvement of third-party couriers.
  • Requests for guaranteed delivery dates can be emailed to us, but we do not guarantee them.
  • If the chosen delivery method is not feasible, we will use the closest alternative service.
  • Couriers follow delivery instructions or designated safe places, but we are not liable once the delivery is made.
  • Couriers may deliver to a safe place at their discretion.
  • You must enable delivery at the given time and place. Additional charges may apply for failed delivery attempts due to incorrect address or refusal.
  • We are not liable for delivery delays or damages due to circumstances beyond our control (e.g., extreme weather, accidents, and strikes).
  • Risk of loss or damage passes to you upon delivery or collection.

General

(a) The Buyer needs written consent from the Company to assign the Contract.
(b) No third party has rights under the Contract.
(c) Notices must be in writing, delivered by hand or first-class post, and deemed received 48 hours after posting.
(e) The Company’s waiver of any breach does not waive future or other breaches.
(f) References to statutes include amendments or extensions.
(g) Invalid provisions do not affect the validity of the remaining terms.
(h) Provisions apply with necessary modifications to be legal, valid, and enforceable.
(i) The Contract is governed by English law and subject to the exclusive jurisdiction of the English Courts.
(j) Headings are for convenience and do not affect interpretation.
(k) A credit check may be conducted, and the search will appear on individual records.
(l) The Company may share information with a third party Credit Information Agency.
